Terms & Conditions (for advertisers)

Wacklink.com reserves the right to change the following terms and conditions at any time. By using the Wacklink.com platform, you agree to the most recent version of these terms and conditions.

Article 1 – General

These terms and conditions apply to any action that can be performed on the Wacklink.com platform.
If desired, these general terms and conditions can be sent in writing.
If any part of this agreement is void or voidable, this will not affect the validity of the remainder of these terms and conditions. The part determined to be void or voided will be replaced by a provision that follows the content of the void provision.

These general terms and conditions are made up of two agreements, namely the placement agreement and the platform agreement. When a client places an application with a publisher (hereinafter referred to as the contractor), the client (advertiser) enters into a placement agreement directly with the contractor (publisher). In addition, the client enters into the platform agreement with Wacklink.com when making an application on the platform. Dutch law applies exclusively to both agreements.

Platform Agreement

When using the Platform, you automatically agree to the most recent version of the platform agreement. This agreement is directly between advertiser and Wacklink.com. In addition, the advertiser must agree to the placement agreement, which is described in chapter 3. The placement agreement is directly between advertiser and publisher. The underlying articles therefore do not apply to Wacklink.com. By using the Wacklink.com platform, you agree to the most current version of the platform agreement.

Article 3 – Product

Via the Wacklink.com platform, publishers offer advertisers the opportunity to place an article or link on the publisher’s website(s) for a fee. Advertisers can place requests with affiliated publishers via the Wacklink.com platform. The advertiser’s request and successful placement of an article or link on the publisher’s website is referred to as the “Product” in the remainder of these terms and conditions.

Article 4 – Registration

Advertisers can register with the Platform through Wacklink.com and access the Platform. Registrations in which the authenticity of the information entered is disputed will be rejected immediately. After registration, advertisers have the option to request the Product from publishers.

Article 5 – Liability

Wacklink.com cannot be held liable for damages resulting from the use of the Platform. Wacklink.com makes an active effort to keep the quality of the offer high. In addition, measures have been taken to create a safe environment. Wacklink.com is in no way liable for the accuracy of the product and the content of the platform.

Article 6 – Decommissioning

Wacklink.com may, at any time, without notice, suspend or suspend the Platform from use. Wacklink.com may also block advertisers and publishers from accessing the platform without having to provide a reason.

Article 7 – Abuse of platform

In using the Platform, advertisers agree not to violate any applicable law or regulation. In addition, the advertiser agrees to the following rules:

Advertiser has a controlling interest or consent of the specified company completed during the registration process to use the Platform and request Products
The Advertiser does not use the Platform to directly promote its own services or products
Advertiser does not contact publishers on the Platform and subsequently order the Product outside the platform
Advertiser only communicates with publishers about the current assignment on the Platform
Advertiser does not encourage publishers via the Platform to violate the terms and conditions

If an advertiser misuses the Platform in any of the above ways, Wacklink.com may immediately deny the advertiser access to the Platform.

Article 8 – Disclosure of information

Wacklink.com reserves the right to randomly screen communications between advertiser (client) and publisher (contractor) for violations of the terms and conditions. In addition, Wacklink.com has the right to disclose information, such as to defend itself in lawsuits, follow a court order, and comply with government regulations.

Article 9 – Force majeure

In case of force majeure, Wacklink.com is not liable for the fulfillment of the agreement. This also applies if the advertiser is unable to fulfill the agreement due to force majeure. If the matter of force majeure lasts longer than 30 days, the agreement may be terminated. In this case, the right to compensation lapses. In the event of outstanding charges or unsettled use of the platform, an invoice will be sent to the advertiser.

Placement Agreement

When the advertiser places an application via the Platform and the publisher accepts the application, Publisher and Advertiser enter into the placement agreement.

Article 10 – Purchase agreement

The contract of sale arises when the advertiser places an application via the Platform and the application is accepted by the publisher. If an application is not accepted by the Publisher, no contract of sale takes place.

Article 11 – Mutual agreement

The advertiser and publisher are themselves responsible for reaching a mutual agreement. Wacklink.com reserves the right to terminate the agreement in the event of any violation of any of the articles of the Platform Agreement or Placement Agreement.

Article 12 – Commission, costs and price

The products displayed on the Platform are each linked to a price. Publishers are free to adjust these prices themselves. The price of an accepted application cannot be adjusted. A commission is paid to Wacklink.com on every successful application. This commission is automatically deducted from the amount to be paid to the publisher. Advertisers will be presented with an overview of the costs and commission to be paid to Wacklink.com during the application process.

Article 13 – VAT

All prices stated on the Platform are exclusive of VAT.

Article 14 – Term of agreement

The placement agreement between the advertiser and publisher, unless otherwise agreed, is permanent. This means that the requested Product must be permanently present on the publisher’s website. If this is not the case, the advertiser has the right to claim the price of the product excluding commission from the publisher.

Article 15 – Delivery time

The Publisher must deliver the Product within no longer than 14 days after accepting the request, unless otherwise agreed with the Advertiser.

Article 16 – Approval of Product

The Product delivered by the Publisher must be approved within seven days. If the advertiser does not approve the delivered product within seven days, the product is automatically approved.

Article 17 – Risks of the Product

The advertiser is aware of the risks of purchasing external link and article placements.

Article 18 – Liability

Wacklink.com cannot be held liable for damages resulting from the use of the Platform. Wacklink.com makes an active effort to keep the quality of the offer high. In addition, measures have been taken to create a safe environment. Wacklink.com is in no way liable for the correctness of the product and the content of the platform. Wacklink.com can also not be held liable for automated or manual changes in search engines as a result of article and link placements offered on the Platform. When using the Platform, you automatically agree to the most recent version of the platform agreement.

Article 19 – Payment of Product

The Advertiser has 14 days to pay the invoice for the requested Product. If the invoice is not paid within 14 days, the advertiser will be given an additional 14 days to pay the invoice. If the invoice is not paid after 28 days, the placement agreement between Publisher and Advertiser will lapse and Advertiser will be denied access to the platform.
